NATIONAL RETRIEVER GUNDOG CHAMPIONSHIP, INC

The name of this corporation is NATIONAL RETRIEVER GUNDOG CHAMPIONSHIP,
INC.
The purpose of the corporation is to promote the breeding and field training and to
protect and advance the interests of purebred retrievers of all breeds; to conduct annually under
the name of NATIONAL RETRIEVER GUNDOG CHAMPIONSHIP one hunt test trial open to
retriever under the rules of the American Kennel Club and the rules and by-laws of the
corporation; and do all things incident or conducive for the stated corporate purpose.
This corporation shall not afford pecuniary gain, incidentally or otherwise, to its members.
The duration of this corporation shall be perpetual.
No member of this corporation shall be – liable for any obligations of this corporation.

BY-LAWS

NATIONAL RETRIEVER GUNDOG CHAMPIONSHIP, INC.

CREATED August 1, 2025

This Corporation, being governed by the Missouri Non-Profit Corporation Code, hereby
adopts the following By-Laws as additional regulations.
MEMBERSHIP

1.01 Anyone may apply to be a member. Approval of membership will be made by the Board of
Directors.
A. Membership allows a member to enter the qualifying event.
B. Only members in good standing may serve as a member of the Board of Directors.
C. Only members in good standing may propose rule change or an amendment to the
by-laws through a member of Board of Directors.
1.02 Membership in this corporation may be terminated
A. By written resignation of the member filed with the secretary of this corporation and
payment of all obligations then due from said member to this corporation.
B. By virtue of nonpayment of dues within thirty (30) days after delivery to the
delinquent member and to the delegate of said member of notice by registered mail
addressed to each at the last known address of each, from the secretary of this

corporation, and the receipt of one or both of them of such notice; or C. Expulsion by
the two-thirds vote of the of the Board of Directors of the corporation.

1.03 A member may be expelled or suspended
A. For conduct on the part of such member which in the opinion of the members endangers
the welfare or reputation of this corporation, but the member shall be given an
opportunity to appear and defend itself, or
B. For failure to pay ones dues after the mailing of notice as provided in 1.02 (B) hereof.

DUES

2.01 Dues shall be payable annually in advance and shall be for a period from August 1 st to
July 31 st in an amount established at the annual meeting and subject to change annually
thereafter. Notice of annual dues shall be published. Notice and demand for payment shall be
given by the Treasurer to each member at least 60 days prior to the beginning of the calendar
year and the entire amount shall be payable upon receipt of such notice and demand. Only
members whose dues are paid by July 15 th , prior to the beginning of the calendar year, shall be
considered in good standing. Passes awarded to Retrievers in a trial held by a member not in
good standing shall not be considered in determining eligibility for the NATIONAL RETRIEVER
GUNDOG CHAMPIONSHIP.

MEETINGS

3.00 The annual meeting of this corporation shall be held on the day preceding the annual
NATIONAL RETRIEVER GUNDOG CHAMPIONSHIP at the location of such stake.
3.01 Special meetings may be called by the President and shall be called by the secretary
upon receipt of written request from no less than five members designating a proper
purpose of such special meeting.
3.02 A minimum of ten days written notice of all meetings shall be given to each Board of
Directors and time and place of every meeting duly called, and the purpose of all special
meetings shall be stated in such notice.

GOVERNMENT

4.01 The Officers and Directors of this corporation shall consist of 5 to 11 persons of lawful
age, qualified by residence of the United States, and who shall be elected by the Board
of Directors from the membership by plurality vote, which shall be no less than a majority
of the members of the Board of Directors in good standing at the time of such election.
4.02 The term of Executive Board offices of President, Vice-President, Treasurer and
Secretary shall be for a period of three years with no term limit and shall begin on the

first day of January following the annual meeting at which they are elected. The Board
of Directors shall be terms as follows: 1 director– 1 year; 2 directors – 2 years, 2
directors-3 years. Additional directors to the maximum number of 11 shall be added for
terms designated by the Board of Directors.
4.03 The Board of Directors shall have full power to conduct the business of this corporation,
shall have complete control over its property, shall establish its policies, shall conduct all
of its business dealings, and shall exercise control and general management thereof,
and said directors shall be members of the Hunt Test Committee. Minutes shall be kept
with respect to all meetings of the Board of Directors. A copy shall be retained in the
official files and copies distributed to all Board Members.
4.04 The Officers, their duties and the required place of residence within the zones where the
NATIONAL RETRIEVER GUNDOG CHAMPIONSHIP (hereinafter called Stake) at the
time of election shall be as follows:
A. The President, shall preside at all meetings of the corporation and the Board of
Directors, and perform the usual duties of a President.
B. The First Vice-President, shall perform the duties of the President during the
absence or disability of the President.
C. The Secretary, whose duties shall be the usual duties of a Secretary including (but
not limited by) the following:
1. Keep a complete membership list at all times, including the date of admission
and the proper name and address of each member;
2. Keep a complete delegate list at all times, including the proper name and
address of the delegate, the Member represented, and the date of
appointment;
3. Keep a list of proxies, including the date of filing;
4. Keep a file of all applications for membership, and all invitations to
membership and the written acceptance thereof;
5. Send out notices of all meetings, notices of election, and send out notices
and demands for payment of dues Keep a record of all receipts and
disbursements, and a record of all properties of the corporation;
D. Treasurer, who shall perform all the duties of a Treasurer including (but not
limited to by) the following:
1. Keep a record of all receipts and disbursements, and a record of all properties of
the corporation.
2. Deposit all monies collected or received in a depository to be designated by the
Board of Directors, and keep record of such deposits and all withdrawals.

3. Prepare reports of the financial condition of this corporation for each meeting of
the Board of Directors when requested.
4. Prepare the annual report for the twelve month period ending the last day of
Sept. of the current year and a copy thereof be sent to the secretary of each member
in due course.
5. Collect all dues and monies due the corporation;
6. Perform such further duties as the Board of Directors may determine.
7. Invest at his discretion, the Club’s funds in obligations of the United States or of a
political subdivision thereof provided said obligation is rated “A” or better by at least
one bond rating agency of national standing and provided that the maturity shall be
no more than one year from the date of purchase.
E. Executive Committee shall appoint all committee members.
4.5 Vacancies in said Board of Directors and officers in connection therewith shall be filled
by the remainder of the Board of Directors for the unexpired term.
4.6 Funds shall be kept in a depository named by the Board of Directors in a checking
account, subject to withdrawal by the Treasurer; provided, that the President may issue
payment upon such account in case of the absence or disability of the Treasurer, after
ascertaining that sufficient funds are available to honor such check in which event the
President shall promptly inform the Treasurer thereof and furnish to him a duplicate of
such check for his files and records.

Discipline

Section 1. American Kennel Club Suspension. Any member who is suspended from all the
privileges of the American Kennel Club automatically shall be suspended from the privileges

of this club for a like period.

Section 2. Charge. An individual member may prefer charges against another individual
member for alleged misconduct prejudicial to the best interests of the club. Written charges
with specifications must be filed in duplicate with the Secretary together with a deposit of
$1000, which shall be forfeited if such charges are not sustained by the board following a
hearing. The Secretary shall promptly send a copy of the charges to each member of the
board or present them at a board meeting, and the board shall first consider whether the
actions alleged in the charges, if proven, might constitute conduct prejudicial to the best
interests of the club. If the board considers that the charges do not allege conduct which
would be prejudicial to the best interests of the club, it may refuse to entertain jurisdiction. If
the board entertains jurisdiction of the charges, it shall fix a date for a hearing by the board
not less than three weeks nor more than six s=weeks thereafter. The Secretary shall
promptly send one copy of the charges and the specifications to the accused member by
registered mail together with a notice of the hearing and an assurance that the defendant
may personally appear in his/her/own defense and bring witnesses if he/she wishes.
Section 3. Board Hearing. The board shall have complete authority to decide whether
counsel may attend the hearing, but both complainant and defendant shall be treated

uniformly in the regard. Should the charges be sustained after hearing all ethe evidence
and testimony presented by complainant and defendant, the board may by a majority vote of
those present reprimand or suspend the defendant from all privileges of the club for not
more than six months from the date of the hearing. And, if it deems that punishment
insufficient, it may also recommend to the membership that the penalty be expulsion. In
such case, the suspension shall not restrict the defendant’s right to appear before his/her
fellow members at the ensuing club meeting which considers the board’s recommendation.
Immediately after the board has reached a decision, its finding shall be put in written form
and filed with the Secretary. The Secretary, in turn, shall notify each of the parties of the
board’s decision and penalty, if any.
Section 4. Expulsion. Expulsion of a member from the club may be accomplished only at a
meeting of the club following a board hearing and upon the board’s recommendation as
provided in Section 3 of this Article. Such proceedings may occur at a regular or special
meeting of the club, to be held within 60 days but not earlier than 30 days after the date of the
board’s recommendation of expulsion. The defendant shall have the privilege of appearing in
his/her own behalf, though no evidence shall be taken at this meeting. The President shall read
the charges and the bboard’s finding and recommendation, and shall invite the defendant, if
present, to speak in his/her own behalf if he/she wishes. The members shall then vote by
secret ballot on the proposed expulsion. A 2/3 vote of those present and voting at the meeting
shall be necessary for expulsion. If expulsion is not so voted, the board’s suspension shall
stand.

NATONAL RETRIEVER GUNDOG CHAMPIONSHIP

5.1 The NATIONAL RETRIEVER GUNDOG CHAMPIONSHIP shall be conducted annually
within the limits of the Continental United States of America herein designated at location
chosen by the Board of Directors.
5.2 The Stake shall be managed by a Hunt Test Committee, three of whom including the
Chairman shall be appointed by the President. Who shall be member of this corporation,
and who shall indicate to the President a willingness to serve at his or her own expense.
The Officers shall be members of the Hunt Test Committee.
5.3 The site for the Stake shall be selected by the Board of Directors in sufficient time to provide
timely notice to all members.
5.4 The Judges for the Stake shall be two (2) in number for each Flight and shall be appointed
by the Hunt Test Committee from AKC approved list of judges, thoroughly experienced in
handling and training of retrievers and in the requirements of retriever work, and their
decision shall be final. The Hunt Test Committee may fill any vacancies occurring in the list
of judges. There is no residence requirement in the selection of judges.

5.5 Contestants are limited to the entrants who have paid a fee determined by the Hunt Test
Committee, and who have:
A. Successfully passed 6 AKC Hunt Test Master Passes during the qualifying period of
August 1 to July 31 for each year;
B. Member in good standing with the corporation;
C. For the founding year 2026 the qualifications shall be 4 Master passes, this shall be
for the 1 st year only of the NATIONAL RETRIEVER GUNDOG CHAMPIONSHIP
qualifying event. For every year after 2026, 6 Master passes will be required to
qualify for the NRGC qualifying event.
D. Any dog qualifies for the NATIONAL RETRIEVER GUNDOG CHAMPIONSHIP by
passing the qualifying event and therefore will receive an invitation to the NATIONAL
RETRIEVER GUNDOG CHAMPIONSHIP to be held the following May at a
designated location chosen by the Board of Directors. An achievement title for
passing qualifier will be National Retriever GunDog or NRGD.
E. The following requirements shall be observed FOR THE NATIONAL RETRIEVER
GUNDOG CHAMPIONSHIP QUALIFYING EVENT:

THE CHAMPIONSHIP REQUIREMENTS

A. The dog must have passed and completed the NRGCQ event for the qualifying year.
B. Dog owner and handler must be a member in good standing with NRGC;
C. Entry fee must be paid in full.
D. Each contestant shall complete ______series, equally divided between land and
water. Work of contestants on land or on water shall be considered of equal
importance, and no greater credit given the one than the other.
E. The Championship will be awarded to the top dog overall with placements of 1 st , 2 nd ,
3 rd , 4 th , 5 th , 6 th , 7 th , 8 th , 9 th and 10 th .
F. The NATIONAL RETRIEVER GUNDOG CHAMPIONSHIP winner shall be
designated as National Retriever Gundog Champion or NRGDC.

AMENDMENTS

6.01 These By-Laws may be amended by a vote of two-thirds of the Board of Directors
represented at any meeting; provided that the vote for an amendment shall represent no
less than a majority of the Board of Directors. Whenever two (2) or more members in
good standing, or the Chairman of any committee of this corporation, present to the
Board of Directors a written proposal for a specific proposed amendment of these By-
Laws by filing the same with the Secretary-Treasurer at least twenty (20) days prior to

the annual meeting, it shall be the duty of the Board of Directors to present a resolution
to said annual meeting embodying the proposed amendment, and the Secretary shall
provide a copy of the proposed amendment to each member and delegate with the
notice of the meeting.

Dissolution

Section 1. The club may be dissolved at any time by the written consent of not less than 2/3 of
the members in good standing. In the event of the dissolution of the club other than for
purposes of reorganization whether voluntary or involuntary or by operation of law, none
of property of the club nor any proceeds thereof nor any assets of the club shall be
distributed to any members of the club but after payment of the debts of the club its
property and assets shall be given to a charitable organization for the benefits of dogs
selected by the board of directors.
